1. Agreement to Terms

By accessing and using metalogintl.com ("Website") and engaging MetaLog International ("we", "our", "us") for services, you ("Client", "you") agree to these Terms of Service. If you do not agree, do not use our Website or services.

2. Services

We provide technology services including but not limited to: website development, ERP implementation, AI agent development, RAG pipelines, integrations, DevOps, branding, consulting, AI video production, and corporate AI training. Specific scope, deliverables, timeline, and pricing are defined in a separate Statement of Work (SoW) or Proposal signed by both parties.

3. Engagement Process

  1. Discovery: Free consultation to understand your needs.
  2. Specification: We prepare a detailed SoW with scope, timeline, cost, and acceptance criteria.
  3. Agreement: Both parties sign the SoW. Work begins upon receipt of deposit (if applicable).
  4. Build: Agile delivery with regular demos and feedback loops.
  5. Acceptance: You review deliverables against acceptance criteria. Sign-off triggers final payment.
  6. Support: Post-launch support per agreed terms (warranty period, retainer, or ad-hoc).

4. Fees and Payment

  • Fees are quoted in USD or PKR per SoW. Taxes (FBR, SRB, PRA) added where applicable.
  • Payment terms: 50% deposit on signing, 50% on acceptance (or per milestone schedule).
  • Late payments incur 1.5% monthly interest after 30 days.
  • Additional work outside scope requires a Change Order with agreed pricing.
  • Expenses (travel, third-party licenses, cloud costs) billed at cost + 10% admin.

5. Intellectual Property

  • Upon full payment, Client owns all custom deliverables: code, designs, documents, configurations.
  • We retain ownership of our pre-existing frameworks, libraries, methodologies, and tools ("Background IP").
  • Client grants us a non-exclusive license to use Background IP embedded in deliverables for the purpose of operating the solution.
  • We may use anonymized project summaries for marketing/portfolio with Client's prior written consent.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement (business data, trade secrets, credentials, architecture) for 3 years post-engagement. Exceptions: information already public, independently developed, or required by law.

7. Data Protection

We process personal data per our Privacy Policy. We act as Data Processor for Client's data; Client is Data Controller. We implement appropriate security measures and notify Client of any breach within 72 hours.

8. Warranties and Disclaimers

  • We warrant services will be performed with reasonable skill and care per industry standards.
  • We do NOT warrant: uninterrupted service, error-free code, specific business outcomes, third-party service availability, or AI output accuracy (AI outputs require human review).
  • AI-generated content (video, text, code) is provided "as-is" — Client is responsible for reviewing and validating before use.

9. Limitation of Liability

  • Our aggregate liability shall not exceed total fees paid by Client in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, punitive, or exemplary damages (lost profits, data loss, business interruption).
  • This limitation applies regardless of legal theory (contract, tort, negligence).

10. Indemnification

Client indemnifies us against claims arising from: Client's content/data, Client's use of deliverables in violation of law, or Client's breach of these Terms.

11. Termination

  • Either party may terminate with 30 days' written notice.
  • We may terminate immediately for: non-payment > 60 days, material breach, or force majeure > 90 days.
  • On termination: Client pays for work completed; we return Client data; licenses for Background IP terminate.

12. Force Majeure

Neither party is liable for delays/failures due to events beyond reasonable control: natural disasters, war, strikes, government actions, internet outages, third-party platform changes.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Pakistan. Disputes resolved in courts of Karachi, Pakistan. Both parties consent to exclusive jurisdiction.

14. General

  • Entire Agreement: These Terms + SoW constitute the entire agreement.
  • Amendments: Must be in writing, signed by both parties.
  • Assignment: Neither party may assign without written consent (except to affiliates).
  • Severability: Invalid provisions severed; remainder enforceable.
  • No Waiver: Failure to enforce ≠ waiver of right.
